1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of AskVideo (the "Service"), operated by Sunrise Digital Labs Inc. ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

You must be at least 13 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

AskVideo provides tools for extracting captions and analyzing content from YouTube videos, including AI-powered features accessible through ChatGPT. The Service is offered in multiple subscription tiers with varying features and usage limits.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

3. Account Registration and Security

Some features require account registration. When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activity under your account

You may not share your account credentials or API tokens with others. We may require identity verification at our discretion.

4. Subscription Plans and Payment

The Service offers Free, Pro, and Elite subscription tiers. Paid subscriptions are billed on a recurring basis until cancelled. Payment processing is handled by a third-party payment processor.

Refunds: All fees are non-refundable. However, we may, in our sole discretion and without any obligation, provide refunds or credits on a case-by-case basis. Any such refund does not entitle you to future refunds in similar circumstances.

We may change our pricing with 30 days' notice. Failed payments may result in suspension or downgrade of your account.

5. Usage Limits and Rate Limiting

Each subscription tier has daily request limits that reset at midnight UTC. Exceeding your limit will temporarily restrict access until the next reset period.

We reserve the right to modify usage limits at any time. We do not guarantee any specific level of availability or uptime.

You agree NOT to:

• Circumvent, disable, or interfere with rate limits or access controls
• Share your account credentials or API tokens with others
• Use automated systems to access the Service beyond normal API use
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service for any illegal purpose or in violation of any laws
• Extract content you do not have the right to access or use
• Interfere with or disrupt the Service or its infrastructure
• Impersonate any person or entity
• Upload or transmit malware, viruses, or malicious code
• Violate the rights of YouTube, content creators, or other third parties
• Use the Service to harass, abuse, or harm others

Violation of this policy may result in immediate termination of your account without notice or refund.

7. Intellectual Property Rights

The Service, including its design, features, and technology, is owned by Sunrise Digital Labs Inc. and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.

Content extracted from YouTube remains the property of the respective content creators. You are responsible for ensuring your use of extracted content complies with applicable laws and YouTube's terms.

Any feedback, suggestions, or ideas you submit to us become our property, and we may use them without compensation or attribution to you.

The Service relies on third-party services including YouTube and ChatGPT. Your use of these services is subject to their respective terms and policies.

We are not responsible for the accuracy, availability, or quality of third-party content. YouTube may change or remove content at any time, and we cannot guarantee that captions will be available for any particular video.

• Your violation of any third-party rights
• Any content or data you submit through the Service
• Your violation of any applicable laws or regulations

Our Rights

We may suspend or terminate your account at any time, for any reason, with or without notice. This includes, but is not limited to, violations of these Terms, suspected fraudulent activity, or at our sole discretion. Upon termination, we may delete all data associated with your account.

Your Rights

You may cancel your subscription at any time through your account settings or by contacting us. You may request deletion of your account by emailing privacy@askvideo.live. Refunds for unused portions are at our sole discretion.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time without notice. We have no obligation to maintain, support, or update any feature. We are not liable for any modification, suspension, or discontinuation of the Service.

15. Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at support@askvideo.live. We will attempt to resolve the dispute within 30 days.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Jurisdiction

Any disputes shall be resolved exclusively in the courts of the Province of Ontario, Canada, and you consent to the jurisdiction of these courts.

EU Residents

If you are a resident of the European Union, nothing in this section affects your right to bring legal proceedings in your country of residence or to have disputes heard by a competent court in the EU.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions will continue in effect.
• No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
• No Agency: These Terms do not create any partnership, employment, or agency relationship.
• Survival: Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

We respect intellectual property rights and comply with the Notice and Notice regime under Canada's Copyright Modernization Act. If you believe content accessible through our Service infringes your copyright, please send a notice to us at support@askvideo.live with the following information:

• Identification of the copyrighted work claimed to be infringed
• Identification of the allegedly infringing material and its location
• Your name and contact information
• A statement that you are the copyright owner or authorized to act on behalf of the owner
• A statement that you believe in good faith the use is not authorized by the copyright owner

Upon receiving a valid notice, we will forward it to the person to whom the infringing content is attributed, in accordance with the Notice and Notice provisions of the Copyright Act (Canada). We may terminate accounts of repeat infringers.
